Terms & Conditions for Customers

The following Terms and Conditions for Customers apply to all work performed by Amplexa Genetics A/S (Amplexa).

General

Analysis is performed using various next generation sequencing methods and technologies, and deletion, duplication, and amplification analysis. The output of the analysis is a written report with the molecular genetics analysis of the findings (if any), which is sent to the customer.

Contract/Placing and Order

When placing an order with Amplexa the customer agrees with Amplexa’s quotation, and Terms and Conditions, and this shall constitute the entire contract between Amplexa and the customer, unless otherwise agreed in writing. For healthcare professionals, placing an order is considered a confirmation that informed consent from the patient has been obtained. Similarly, for private clients, placing an order in considered informed consent.

Prices and Payment

Prices quoted by Amplexa are valid for 3 months and are subject to change thereafter. The quotation is only valid for the specific customer.

All prices are in EURO (€), unless otherwise noted. Amplexa’s invoices have payment terms of Net 20 days and are payable in EURO or DKK.

In case of failure to meet payment terms Amplexa reserves the right to charge interest (1,5% pr. month) for the delayed period in addition to other expenses incurred to collect the outstanding amount.

Estimated time of Delivery

The normal, estimated time of delivery from receiving a sample suitable for test and the customer receiving a test report is 5-6 weeks. In case of partial delivery (e.g need for extra samples) the estimated time of delivery is re-set with each partial delivery.

Sample

Samples will be stored according to Danish law. Amplexa shall retain its test reports, documents and related data in accordance with Danish law, industry and accreditation standards.

Amplexa may anonymize materials and data and include them in its genetic information pool. Should the need arise for further inclusion of materials and data, permission from The National Committee on Health Research Ethics will be sought in advance.

CONFIDENTIALITY

Patient sensitive information is confidential and is compliant with the Danish Data Protection Agency’s rules and regulations. Test reports are sent in hard copy to customer but can also be sent electronically by encrypted email.

WARRANTY

Amplexa disclaims all warranties, express or implied, including any warranties of merchantability or fitness for a particular purpose. Due to the rapid development in new genetic findings and the difficulty determining their true accuracy, Amplexa will not be liable for its test results except for intentional or gross negligent conduct.

LIABILITY

Amplexa uses reasonable diligence to prepare reports based on the newest available and published scientific findings as well as Amplexa’s own databases. Amplexa is only responsible for the customers’ direct loss and thus will not be liable for any of the customer’s indirect, incidental or consequential loss of any nature whatsoever. Under no circumstance Amplexa will be liable for any loss exceeding 250,000 DDK except for bodily injury according to Danish law.

Amplexa cannot be held liable for claims regarding loss, damage or injury that have not been made in writing within three years after delivery by Amplexa of the service in respect of which the claim is made. In addition, Amplexa’s liability is contingent upon the Customer complaining in writing as soon as he has become aware of, or should have become aware of, the existence of a potential claim for compensation against Amplexa. Notwithstanding the said time limit of three years, Amplexa shall not be liable for any damage or injury that was impossible to foresee in view of the know-how and technology available at the time of the performance of the work.

To submit an official complaint, contact us at complaints@amplexa.com. Your complaint will be investigated and resolved internally at Amplexa, and you will be kept informed on an ongoing basis.

GOVERNING LAW

Unless otherwise agreed disputes are settled under Danish law in Denmark.

REQUESTERS DUTY TO PROVIDE SUITABLE AND RELEVANT TEST MATERIAL

The customer is responsible for providing Amplexa with samples suitable for the tests in question. Therefore, it is the obligation of the customer to provide material of sufficient quality and quantity for Amplexa to perform the analysis. When receiving the samples Amplexa performs initial tests for quality and quantity and failure to meet those criteria will cause a rejection of the sample. The customer will be informed there of, and typically be asked to send a new sample. The table below provides general guidelines on samples concerning matrices, quantitative specifications, and shipping instructions.

For partial delivery, each partial delivery is calculated separately with regards to Turn-around Time (TAT). Such could be the case for test material from additional individuals (e.g., parents, or relatives) which was not provided with the initial sample.
